These Terms of Service govern the use of this website and the initiation of business with Midesco Handelsgesellschaft für Industriebedarf mbH ("Midesco", "we"). Our offers are directed exclusively at businesses within the meaning of § 14 BGB, legal entities under public law and special funds under public law — not at consumers.
Individual contracts, order confirmations and any agreed general terms and conditions of sale take precedence over these Terms.

04Inquiries, quotations & contracts
Quotations are non-binding unless expressly marked as binding. A contract is only concluded upon our written order confirmation or upon delivery. The content of the contract is determined by the order confirmation and the documents referred to therein.
05Prices, delivery & Incoterms
Prices are quoted net, excluding VAT, customs duties and other charges unless stated otherwise. Delivery terms are agreed individually for each transaction; trade terms are interpreted in accordance with Incoterms® 2020. Delivery dates are only binding if expressly agreed as such in writing.
06Used goods & plant brokerage
Used machinery and installations are sold in the condition agreed in the individual contract. Where Midesco acts as a broker, it acts as an intermediary between seller and buyer; the contract of sale is concluded directly between those parties unless otherwise agreed in writing. Information about brokered objects is based on details provided by the seller.
07Export control & compliance
All deliveries are subject to applicable national, EU and US export control and sanctions regulations. Customers must provide information on end use and end user upon request. We are entitled to refuse or suspend deliveries where these regulations or official requirements prevent performance.
08Intellectual property
All texts, graphics, illustrations, animations and the design of this website are protected by copyright. Any reproduction, distribution or other use beyond the limits of copyright law requires our prior written consent.
09Liability
We are liable without limitation for intent and gross negligence, for injury to life, body or health, and under the German Product Liability Act. For slight negligence, we are liable only for breach of essential contractual obligations (cardinal obligations), limited to the damage typical and foreseeable at the time the contract was concluded.
We are not responsible for the availability of the website or for damage caused by malware, provided we have taken reasonable security precautions.

11Governing law & jurisdiction
These Terms and all legal relationships between Midesco and its business customers are governed by the laws of the Federal Republic of Germany, excluding the UN Convention on Contracts for the International Sale of Goods (CISG).
If the customer is a merchant, a legal entity under public law or a special fund under public law, the exclusive place of jurisdiction is the registered office of Midesco. We are also entitled to sue at the customer's general place of jurisdiction.
12Final provisions
Should any provision of these Terms be or become invalid, the validity of the remaining provisions shall remain unaffected. We may amend these Terms for the future; the version published on this website applies.
